This document constitutes a legally binding agreement between SAARTHI and any person who accesses or uses the website www.saarthionline.com, or who places an order for products through it. Please read it carefully before using the website.

1. Introduction and Acceptance of Terms

1.1 These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer”, “User”, “you”, “your”) and SAARTHI, a sole proprietorship business having its registered office at Vaishali Nagar, Jaipur, Rajasthan – 302021, India (“SAARTHI”, “we”, “us”, “our”), governing your access to and use of the website www.saarthionline.com, including all content, functionality, and services offered on or through it (the “Website”), and your purchase of any products made available through the Website.

1.2 SAARTHI is a sole proprietorship business operating in compliance with applicable Indian law, including registration for Goods and Services Tax (GST) and other applicable business registrations.

1.3 By accessing the Website, creating an Account, placing an Order, or otherwise using any part of the Website, you confirm that you have read, understood, and agree to be bound by these Terms, together with SAARTHI’s Privacy Policy, Shipping & Delivery Policy, and Return, Refund, Replacement & Cancellation Policy (the “Returns Policy”), and any other policy referenced in these Terms (together, the “Policies”), each of which is incorporated into these Terms by reference.

1.4 If you do not agree to these Terms, you must not access or use the Website or place any Order.

1.5 These Terms apply to every visit to, and use of, the Website, whether or not you complete a purchase, and to every Order placed through the Website, by telephone, by WhatsApp, or through any other channel operated by SAARTHI.

1.6 Where there is any conflict between these Terms and a Policy referenced in Section 1.3, these Terms shall prevail to the extent of the inconsistency, save that the specific procedural provisions of the relevant Policy (for example, the return window and eligibility criteria set out in the Returns Policy) shall govern in relation to the specific subject matter of that Policy.

2. Definitions

In these Terms, the following capitalised terms have the meanings given below, unless the context requires otherwise. Other capitalised terms are defined where they first appear.

• “Account” means a registered user account created by a Customer on the Website.
• “Bulk Order” means an Order placed for a quantity of Products, or for a value, that SAARTHI, in its discretion, treats as a wholesale or bulk purchase, whether or not subject to separate quotation under Section 11.4.
• “Business Day” means a day other than a Saturday, Sunday, or public holiday in Rajasthan, India.
• “Content” means all text, images, videos, graphics, product descriptions, catalogues, and other material made available on or through the Website.
• “Customer / you / your” means any person who accesses or uses the Website, creates an Account, or places an Order.
• “Customized Product” means a Product manufactured, engraved, monogrammed, or otherwise finished in accordance with specifications provided by a particular Customer for that Customer’s Order.
• “Delivered Duty Paid or DDP” means a shipping arrangement under which SAARTHI prepays applicable customs duties on behalf of the Customer for a given Order, as further described in Section 15.2.
• “Force Majeure Event” has the meaning given in Section 28.1.
• “Made-to-Order Product” means a Product manufactured by SAARTHI or its artisans and suppliers only after, and in response to, a specific Order, rather than held as ready stock.
• “Order” means a request to purchase one or more Products submitted by a Customer through the Website’s checkout process, or by telephone or WhatsApp where SAARTHI accepts orders through those channels.
• “Policies” has the meaning given in Section 1.3.
• “Product” means any physical product, including any Customized Product or Made-to-Order Product, offered for sale by SAARTHI through the Website.
• “Quality Control or QC” means SAARTHI’s internal inspection process described in Section 9.1(c).
• “Returns Policy” means SAARTHI’s Return, Refund, Replacement & Cancellation Policy, as described in Section 1.3.
• “SAARTHI / we / us / our” has the meaning given in Section 1.1.
• “Terms” means these Terms and Conditions, as amended from time to time in accordance with Section 30.
• “User-Generated Content” has the meaning given in Section 20.1.
• “Website” has the meaning given in Section 1.1.

3. Eligibility

3.1 There is no minimum age restriction specific to the Website. Any person who has the legal capacity to enter into a binding contract under the law applicable to them may use the Website and place Orders.

3.2 If you access or use the Website, or place an Order, on behalf of a minor or a person who otherwise lacks legal capacity to contract, you represent that you are legally authorised to do so and that you accept full responsibility for that use, including for any Order placed and any payment made.

3.3 By placing an Order, you represent and warrant that all information you provide to SAARTHI is true, accurate, current, and complete, and that you have the legal right to use the payment method provided.

4. Website Access and Availability

4.1 SAARTHI will use reasonable efforts to keep the Website available and to ensure that it operates correctly; however, SAARTHI does not guarantee that the Website will be available at all times or that it will be free from interruption, error, or delay, including interruption, error, or delay arising from scheduled or emergency maintenance, technical failure, or a Force Majeure Event described in Section 28.

4.2 SAARTHI reserves the right to modify, suspend, or discontinue any part of the Website, including any feature such as guest checkout, registered Accounts, wishlist, coupons, newsletter, gift wrapping, WhatsApp support, or order tracking, at any time and without liability, provided that any such change shall not affect an Order already accepted in accordance with Section 9.

4.3 You are responsible for ensuring that you have the equipment and internet access necessary to use the Website, and for all charges you may incur from your internet or telecommunications provider in connection with such use.

5. Nature of Business; Products Offered

5.1 SAARTHI is an online retailer of handcrafted, decorative, and lifestyle physical products, including home décor, furniture, gifting products, brass items, wooden products, artisan-made products, and Made-to-Order Products (collectively, “Products”), sourced through a combination of in-house and partner artisans, third-party manufacturers, and suppliers.

5.2 The Website offers Products for sale on a business-to-consumer and business-to-business (Bulk Order) basis. SAARTHI does not, through the Website, offer memberships, digital downloads, online courses, or subscription-based services, and nothing in these Terms shall be construed as an offer of any such service.

5.3 SAARTHI reserves the right to add, discontinue, or modify any Product, Product category, or Product line at any time and without prior notice, without liability to any Customer, save in respect of Orders already accepted in accordance with Section 9.

6. Handcrafted Nature of Products; Variations

6.1 Many Products are handmade, hand-finished, or hand-decorated by artisans. As a natural consequence of the handcrafting process, you acknowledge and agree that variations may occur in colour, finish, wood grain, brass polish, carving detail, dimensions, texture, natural material characteristics, and overall artisan workmanship, both between individual units of what is otherwise the same Product, and between the Product delivered to you and any photograph, video, or other representation of that Product displayed on the Website.

6.2 Such variations are inherent and expected characteristics of handcrafted goods and shall not, in themselves, be treated as a manufacturing defect, damage, or non-conformity with the Product description for the purposes of Section 16 (Returns, Refunds and Non-Returnable Products) or otherwise under these Terms.

6.3 All Product images, videos, and descriptions on the Website are provided for illustrative and representative purposes only. While SAARTHI takes reasonable care to ensure that Product images and descriptions are accurate, actual colour, finish, and dimensions may vary slightly due to factors including the handcrafted nature of the Product, photography and lighting conditions, and the display settings of your device.

7. Website Accounts

7.1 Guest Checkout and Registered Accounts. You may place an Order either as a registered user, by creating an Account on the Website, or as a guest, without creating an Account (“Guest Checkout”). Certain Website features, including order history, wishlist, and saved addresses, are available only to holders of a registered Account.

7.2 Account Security. If you create an Account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. You must notify SAARTHI immediately of any unauthorised use of your Account or any other breach of security.

7.3 Accuracy of Information. You agree to provide accurate, current, and complete information when creating an Account or placing an Order, and to promptly update such information to keep it accurate, current, and complete.

7.4 Website Features. Subject to availability, the Website may offer features including Guest Checkout, registered Accounts, wishlist functionality, Customer Reviews, coupons and promotional codes, a newsletter, gift wrapping, order tracking, and customer support via WhatsApp. SAARTHI does not, as of the Effective Date, operate any reward points or loyalty points programme, and no such programme should be inferred from any reference to promotions or coupons in these Terms.

7.5 Inactive Accounts. SAARTHI reserves the right, in its discretion, to delete or deactivate any Account that has remained inactive for a continuous period of one (1) year, without liability to the Customer, save that SAARTHI shall have no obligation to retain any data associated with such Account beyond the period required by applicable law or set out in the Privacy Policy.

7.6 Termination by SAARTHI. SAARTHI may suspend or terminate your Account, or restrict your access to the Website, at its discretion, where SAARTHI reasonably believes that you have breached these Terms, engaged in fraudulent or unlawful activity, or where required to comply with applicable law.

8. Pricing, Currency and Taxes

8.1 All prices displayed on the Website are stated in the currency shown at the point of display, which may be adjusted automatically based on your detected or selected country or region. The display of a Product price in a particular currency does not constitute a representation that the Product is available for shipment to, or that SAARTHI otherwise transacts business in, the corresponding country.

8.2 Prices displayed to Customers located in India are inclusive of applicable Goods and Services Tax (GST), unless otherwise stated on the Website at the time of purchase.

8.3 Prices displayed to Customers located outside India do not include customs duties, import taxes, value-added tax, or other charges levied by the destination country, which remain the Customer’s responsibility as described in Section 15 (Customs Duties and International Compliance), except where SAARTHI expressly offers Delivered Duty Paid shipping for a particular country in accordance with Section 15.2.

8.4 SAARTHI takes reasonable steps to ensure that prices displayed on the Website are accurate. However, in the event of a pricing error, whether due to technical malfunction, typographical error, data entry error, or otherwise, SAARTHI reserves the right to cancel any Order affected by such error, in accordance with Section 14 (Promotions, Discounts and Coupons) and Section 10 (Order Cancellation and Rejection by SAARTHI).

9. Order Placement, Acceptance and Quality Control

9.1 Order Process. Placing an Order through the Website follows the sequence set out below:

• (a) you select one or more Products and submit an order request through the Website’s checkout process;
• (b) you make payment for the Order in accordance with Section 12 (Payments);
• (c) upon receipt of payment, your Order enters SAARTHI’s internal quality control inspection process (“Quality Control” or “QC”);
• (d) if the relevant Product passes Quality Control, SAARTHI dispatches the Order for delivery; and
• (e) your Order is formally and finally accepted by SAARTHI only upon dispatch in accordance with paragraph (d) above.

9.2 No Binding Contract Prior to Dispatch. Submission of an Order and payment for it constitutes an offer by you to purchase the relevant Product(s), which SAARTHI may accept or decline at its discretion, in accordance with this Section 9 and Section 10. No binding contract of sale is formed between you and SAARTHI in respect of any Product until that Product has passed Quality Control and has been dispatched.

9.3 Quality Control Failure. If a Product ordered by you fails Quality Control, SAARTHI may, at its discretion and after contacting you: (a) offer a reasonable alternative Product; (b) delay dispatch of the Order pending remediation; (c) cancel the affected part of the Order; or (d) cancel the Order in full, and, where the Order or part of the Order is cancelled under this Section 9.3, issue a full refund of the amount paid in respect of the cancelled portion, using the original payment method, within a reasonable time.

9.4 Order Confirmation. Any automated order confirmation, invoice, or acknowledgment of receipt sent to you following submission of your Order confirms receipt of your Order only and does not constitute acceptance of your Order or formation of a contract of sale.

10. Order Cancellation and Rejection by SAARTHI

10.1 SAARTHI reserves the right to refuse, cancel, or suspend any Order, in whole or in part, at any time prior to dispatch, including in circumstances involving:

• (a) suspected fraud, unauthorised, or illegal activity;
• (b) unavailability of stock, or of the materials required to fulfil a Made-to-Order or Customized Product;
• (c) a pricing, description, or other error on the Website;
• (d) inability to deliver to the address provided, whether for logistical, legal, or regulatory reasons; or
• (e) applicable government restrictions, sanctions, or import/export controls affecting the Customer’s location or the relevant Product.

10.2 Where SAARTHI cancels an Order under Section 10.1 after payment has been received, SAARTHI shall notify you and issue a full refund of the amount paid in respect of the cancelled Order, or the cancelled portion of it, using the original payment method, within a reasonable time, unless the cancellation arises from circumstances described in Section 15.3 or 15.4 (Customs Duties and International Compliance) that are attributable to you.

10.3 Cancellation by Customer Before Dispatch. You may request cancellation of an eligible Order at any time before it has been dispatched, in accordance with, and subject to the exclusions set out in, the Returns Policy, including the exclusion of Customized Products and Made-to-Order Products from cancellation once production has commenced.

10.4 Cancellation After Dispatch. A request by you to cancel an Order after it has entered Quality Control or been dispatched shall be treated in accordance with Section 16 (Returns, Refunds and Non-Returnable Products) and the Returns Policy, and not as a pre-dispatch cancellation under this Section 10.

11. Bulk Orders and Customized / Made-to-Order Products

11.1 SAARTHI accepts Bulk Orders and, as of the Effective Date, does not impose a fixed maximum quantity limit on Orders placed through the Website; however, SAARTHI reserves the right to impose reasonable quantity limits on any Product, at any time, including in response to stock availability, production capacity, or fraud prevention.

11.2 Customized Products and Made-to-Order Products are manufactured or finished specifically in accordance with a Customer’s Order and specifications, which may include, without limitation, size, colour, engraving, monogramming, or other bespoke elements, and are treated differently from ready-stock Products for the purposes of cancellation and return, as further described in Section 16.

11.3 Where a Customer requests a Customized Product, the Customer is solely responsible for the accuracy of all specifications, text, and instructions provided to SAARTHI, and SAARTHI shall not be liable for errors resulting from inaccurate, incomplete, or unlawful specifications provided by the Customer.

11.4 Bulk and Customized Orders may be subject to separate quotations, lead times, deposit requirements, or terms communicated to the Customer at the time of order, which shall be read together with, and form part of, these Terms in respect of that Order.

12. Payments

12.1 SAARTHI accepts payment through the methods made available on the Website from time to time, which may include UPI, debit cards, credit cards, net banking, digital wallets, PayPal, other international payment methods, and bank transfer. Cash on Delivery is also available for domestic Orders up to a maximum value specified on the Website from time to time (currently ₹1,500), and is not available for Orders above that value or for international Orders.

12.2 All payments are processed through third-party payment gateway providers. SAARTHI does not store your complete payment card details on its servers. Your use of any third-party payment gateway is subject to the terms and privacy policy of that provider, in addition to these Terms.

12.3 You represent and warrant that any payment information you provide is accurate and that you are authorised to use the relevant payment method. SAARTHI reserves the right to refuse or cancel an Order, in accordance with Section 10, where it reasonably suspects that the payment method used is fraudulent, unauthorised, or otherwise improper.

12.4 Full payment is required at the time of placing an Order, unless otherwise agreed in writing by SAARTHI in respect of a Bulk Order or Customized Order.

13. Promotions, Discounts and Coupons

13.1 SAARTHI may, at its discretion, offer discounts, promotional codes, or coupons, subject to such conditions (including validity period, minimum order value, and eligible Products) as SAARTHI may specify at the time of the offer.

13.2 Where an Order is affected by a pricing, coupon, promotional, or technical error, including the display of an incorrect price or the incorrect application, or non-application, of a discount, SAARTHI reserves the right to cancel the affected Order, in whole or in part, at any time prior to dispatch, and to issue a full refund of any amount paid in respect of the cancelled Order in accordance with Section 10.2.

13.3 Coupons and promotional codes are not transferable or redeemable for cash, may not be combined with other offers unless expressly stated, and may be withdrawn or modified by SAARTHI at any time without notice, save in respect of Orders already accepted in accordance with Section 9.

14. Shipping and Delivery

14.1 SAARTHI ships Products worldwide through third-party courier partners. Estimated delivery timelines are: (a) for domestic deliveries within India, approximately two (2) to ten (10) Business Days from dispatch, depending on the delivery location; and (b) for international deliveries, approximately twelve (12) to fifteen (15) Business Days from dispatch, depending on the destination country and applicable customs processes. Further detail is set out in SAARTHI’s Shipping & Delivery Policy.

14.2 The timelines set out in Section 14.1 are estimates only and are not guaranteed. SAARTHI shall not be liable for delays caused by the courier partner, customs authorities, or a Force Majeure Event described in Section 28.

14.3 Tracking information will be made available to you following dispatch, where supported by the relevant courier partner. Further detail regarding shipping methods, timelines, and charges is set out in SAARTHI’s Shipping Policy, which is incorporated into these Terms by reference.

14.4 Risk in the Products, but not title, shall pass to you upon delivery to the courier partner for onward transmission, save that SAARTHI shall remain responsible for the Product until delivery to the address provided by you for the purposes of any claim relating to loss or damage in transit, subject to the Returns Policy.

15. Customs Duties and International Compliance

15.1 For international Orders, unless Section 15.2 applies, all customs duties, import taxes, value-added tax, and any other charges levied by the customs or tax authorities of the destination country are the sole responsibility of the Customer and are not included in the Product price or shipping charge displayed on the Website.

15.2 For certain countries, which may include the United States of America and select European countries, SAARTHI may, at its discretion and where indicated on the Website or at checkout, offer Delivered Duty Paid shipping, under which SAARTHI prepays applicable duties on your behalf. The availability of DDP shipping for a given country or Order is determined by SAARTHI and may be withdrawn or amended at any time without liability, provided that any change shall not affect an Order already dispatched.

15.3 Where a delay in customs clearance arises due to your act or omission, including failure to provide required documentation, failure to pay applicable customs duties, or provision of inaccurate delivery or customs information, responsibility for that delay, and any resulting cost, rests with you, and SAARTHI shall have no liability in respect of such delay.

15.4 If you refuse to pay applicable customs duties or otherwise refuse to accept delivery of an international Order on account of customs charges, the Order shall not be eligible for a refund, and SAARTHI reserves the right to deduct from any amount otherwise payable to you the costs incurred by SAARTHI in connection with the failed delivery and return of the Product, including outbound and return shipping costs.

15.5 You are responsible for ensuring that the import of the ordered Products into your destination country is lawful. SAARTHI accepts no liability where a Product is seized, delayed, or destroyed by customs or other governmental authorities due to restrictions applicable in your jurisdiction.

16. Returns, Refunds and Non-Returnable Products

16.1 This Section 16 sets out the framework applicable to returns and refunds. The applicable return window, the specific reasons for which a return will be accepted (each, a “Valid Return Reason”), and the detailed procedure, evidence requirements, and timelines for requesting a return are set out exclusively in the Returns Policy, which is incorporated into these Terms by reference and shall govern on those matters. This Section 16 shall not be read as independently expanding or restricting the return window or the Valid Return Reasons stated in the Returns Policy.

16.2 Domestic Returns. For deliveries within India, you may request a return only within the return window, and only for a Valid Return Reason, in each case as set out in the Returns Policy. For the avoidance of doubt, a change of mind, and the natural variations inherent to handcrafted Products described in Section 6, are not Valid Return Reasons.

16.3 International Returns. Returns are not accepted for international deliveries (deliveries outside India), save where mandatorily required by applicable law or expressly stated otherwise in the Returns Policy.

16.4 Return Shipping Costs. Save where a Valid Return Reason arises from an error attributable to SAARTHI and applicable law requires otherwise, the cost of returning a Product to SAARTHI is the Customer’s responsibility, as further described in the Returns Policy.

16.5 Non-Returnable Products. The following categories of Products are not eligible for return under any circumstances, save where mandatorily required by applicable law: (a) Customized Products; (b) Made-to-Order Products; and (c) Products that have been used, installed, altered, or are no longer in their original condition and packaging. The Returns Policy may identify further categories of non-returnable Products consistent with this Section 16.5.

16.6 Refunds. Where a return is approved in accordance with the Returns Policy, SAARTHI shall process the applicable refund to the original payment method within the timeframe set out in that Policy.

17. Warranty Disclaimer

17.1 Products are sold without any warranty, whether express or implied, save for such statutory rights and warranties as cannot lawfully be excluded under applicable consumer protection law.

17.2 Nothing in this Section 17 excludes or limits SAARTHI’s obligations in respect of Products that arrive damaged, are not as ordered, or have a manufacturing defect, as addressed in Section 16.

18. Intellectual Property Rights

18.1 All rights, title, and interest in and to the Website and its Content, including the SAARTHI name, logo, and trademarks, the design, layout, and “look and feel” of the Website, the underlying source code (where applicable), and all product photographs, videos, descriptions, graphics, catalogues, and other creative works made available on the Website (collectively, “SAARTHI IP”), are and shall remain the exclusive property of SAARTHI or its licensors, and are protected under applicable intellectual property laws, including copyright and trademark law.

18.2 Nothing in these Terms grants you any right, licence, or interest in or to the SAARTHI IP, except as expressly set out in Section 19 (Limited Licence to Use Product Images) or as otherwise expressly agreed in writing by SAARTHI.

18.3 You must not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the SAARTHI IP, except as permitted by these Terms or as required for your personal, non-commercial use of the Website in connection with placing an Order.

19. Limited Licence to Use Product Images

19.1 Subject to the conditions in this Section 19, SAARTHI grants bloggers, content creators, and authorised dealers or resellers of SAARTHI Products a limited, non-exclusive, revocable, non-transferable licence to use SAARTHI’s product images solely for the purpose of: (a) reviewing, discussing, or promoting SAARTHI Products in a manner consistent with their ordinary marketing or editorial use; or (b) advertising and offering for sale, in the case of authorised dealers and resellers, Products genuinely purchased from SAARTHI.

19.2 The licence granted under Section 19.1 is conditional on the user: (a) not altering, distorting, or materially modifying the relevant image in a manner that misrepresents the Product; (b) not using the image in connection with any unlawful, defamatory, or misleading content; (c) not representing or implying that the user is SAARTHI or is endorsed, sponsored, or officially affiliated with SAARTHI, unless a separate written agreement to that effect exists; and (d) ceasing use of the image immediately upon written request from SAARTHI.

19.3 SAARTHI reserves the right to revoke the licence granted under this Section 19, in whole or in part, at any time, by notice to the user, without liability, where SAARTHI reasonably believes the conditions in Section 19.2 have been breached or that continued use is contrary to SAARTHI’s interests.

19.4 This Section 19 does not grant any licence to use the SAARTHI name, logo, or trademarks, which remains subject to Section 18.

20. Customer Reviews and User-Generated Content

20.1 The Website may allow you to submit product reviews, ratings, comments, images, or other content (“User-Generated Content”). By submitting User-Generated Content, you represent that you own or have the necessary rights to submit such content, and you grant SAARTHI a worldwide, royalty-free, non-exclusive licence to use, reproduce, display, and distribute that content in connection with the operation and promotion of the Website and SAARTHI’s business.

20.2 You must not submit User-Generated Content that is spam, fake, misleading, defamatory, obscene, offensive, unlawful, or that infringes the rights of any third party.

20.3 SAARTHI reserves the right, at its discretion and without prior notice, to refuse to publish, edit, or remove any User-Generated Content, including reviews, that SAARTHI reasonably considers to be spam, fake, offensive, or unlawful, or that otherwise breaches Section 20.2 or these Terms.

21. Prohibited Conduct

21.1 You must not use the Website:

• (a) for any unlawful purpose or in violation of any applicable law;
• (b) to transmit any virus, malware, or other harmful code;
• (c) to attempt to gain unauthorised access to the Website, SAARTHI’s systems, or another user’s Account;
• (d) to scrape, harvest, or collect data from the Website by automated means without SAARTHI’s prior written consent;
• (e) to impersonate any person or entity, or misrepresent your affiliation with any person or entity; or
• (f) to interfere with or disrupt the operation of the Website or the servers or networks used to make the Website available.

21.2 SAARTHI reserves the right to investigate and take appropriate action against any person who, in SAARTHI’s reasonable opinion, violates this Section 21, including suspending or terminating that person’s Account, cancelling Orders, and reporting the conduct to law enforcement authorities.

22. Marketing Communications

22.1 SAARTHI may send you promotional and marketing communications, including by email, SMS, and WhatsApp, regarding Products, offers, and updates, where you have provided your consent to receive such communications, whether at the point of Account creation, checkout, newsletter sign-up, or otherwise, or where such communications are otherwise permitted under applicable law.

22.2 You may withdraw your consent to receive marketing communications at any time using the unsubscribe or opt-out mechanism provided in the relevant communication, or by contacting SAARTHI using the details in Section 32 (Contact Information). Withdrawal of consent to marketing communications does not affect SAARTHI’s ability to send you transactional or service communications relating to your Orders or Account.

22.3 Further detail regarding SAARTHI’s collection and use of personal data for marketing purposes is set out in the Privacy Policy.

23. Artificial Intelligence Disclosure

23.1 SAARTHI may use artificial intelligence (“AI”) tools in connection with the operation of the Website and its business, including in relation to customer support, product descriptions, imagery, marketing content, and website functionality.

23.2 Where AI-generated content is used on the Website, SAARTHI takes reasonable steps to review such content for accuracy prior to publication. However, you acknowledge that AI-generated content may, on occasion, contain inaccuracies, and SAARTHI’s use of AI tools does not alter SAARTHI’s obligations under these Terms in respect of Product descriptions or otherwise.

24. Third-Party Links, Services and Analytics

24.1 The Website may contain links to third-party websites or services, and may integrate third-party services including payment gateways, courier tracking services, and analytics providers such as Google Analytics. SAARTHI does not control, and is not responsible for, the content, privacy practices, or terms of any third-party website or service.

24.2 Your use of any third-party website or service linked to or integrated with the Website is at your own risk and subject to the terms and privacy policy of that third party.

24.3 SAARTHI’s use of analytics and similar tools to understand Website usage is described further in the Privacy Policy and, where applicable, in a separate cookie notice on the Website.

25. Disclaimer of Warranties

25.1 The Website and all Content made available through it are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, SAARTHI disclaims all warranties, express or implied, in relation to the Website, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Website will be uninterrupted, timely, secure, or error-free.

25.2 Nothing in this Section 25 excludes or limits any warranty, guarantee, or right that cannot lawfully be excluded or limited under applicable consumer protection law, including in relation to the Products themselves as addressed in Sections 16 and 17.

26. Limitation of Liability

26.1 To the fullest extent permitted by applicable law, SAARTHI’s aggregate liability to you arising out of or in connection with these Terms, the Website, or any Order, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you for the Order giving rise to the claim.

26.2 To the fullest extent permitted by applicable law, SAARTHI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with these Terms, the Website, or any Order, even if SAARTHI has been advised of the possibility of such damages.

26.3 Nothing in these Terms excludes or limits SAARTHI’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded or limited under applicable law.

27. Indemnification

27.1 You agree to indemnify, defend, and hold harmless SAARTHI, its proprietor, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with:

• (a) your breach of these Terms;
• (b) your violation of any applicable law;
• (c) your violation of any third-party right, including intellectual property or privacy rights, in connection with User-Generated Content submitted by you or specifications provided in connection with a Customized Product; or
• (d) your misuse of the Website.

28. Force Majeure

28.1 SAARTHI shall not be liable for any failure or delay in performing its obligations under these Terms, including in relation to the dispatch or delivery of any Order, where such failure or delay arises from causes beyond SAARTHI’s reasonable control, including but not limited to courier or logistics disruption, customs delays, strikes or labour disputes, natural disasters, pandemics or public health emergencies, war, civil unrest, acts of government or regulatory authorities, and cyber incidents (each, a “Force Majeure Event”).

28.2 Where a Force Majeure Event continues for a prolonged period such that performance of an Order becomes impracticable, SAARTHI may cancel the affected Order and issue a refund in accordance with Section 10.2.

29. Dispute Resolution and Governing Law

29.1 These Terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of India.

29.2 In the event of any dispute, controversy, or claim arising out of or relating to these Terms, an Order, or the Website, the parties shall first attempt in good faith to resolve the matter through direct negotiation, and, failing resolution within thirty (30) days, through mediation administered by a mutually agreed mediator, before resorting to litigation.

29.3 Subject to Section 29.2, the courts at Jaipur, Rajasthan, India shall have exclusive jurisdiction to hear and determine any dispute arising out of or in connection with these Terms, and you irrevocably submit to the jurisdiction of such courts, without prejudice to any mandatory consumer protection rights you may have to bring proceedings in your jurisdiction of residence.

30. Amendments to These Terms

30.1 SAARTHI may amend these Terms from time to time, at its discretion, to reflect changes in its business, legal or regulatory requirements, or otherwise. The amended Terms will be posted on the Website with an updated “Last Updated” date and, save as required by applicable law, will take effect immediately upon posting.

30.2 Your continued use of the Website following the posting of amended Terms constitutes your acceptance of those amended Terms. If you do not agree to the amended Terms, you must stop using the Website. Amendments to these Terms shall not affect Orders accepted by SAARTHI in accordance with Section 9 prior to the effective date of the amendment.

31. General Provisions

31.1 Entire Agreement

These Terms, together with the Policies referenced in Section 1.3 and any specific terms agreed in writing between you and SAARTHI in respect of a Bulk Order or Customized Order, constitute the entire agreement between you and SAARTHI in relation to your use of the Website and any Order, and supersede all prior agreements, understandings, or arrangements, whether written or oral, relating to that subject matter.

31.2 Severability

If any provision of these Terms is held by a court or other competent authority to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable or, if it cannot be so modified, shall be severed, and the remaining provisions of these Terms shall continue in full force and effect.

31.3 Waiver

No failure or delay by SAARTHI in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy, nor shall any single or partial exercise of any right or remedy preclude any further exercise of that or any other right or remedy.

31.4 Assignment

You may not assign, transfer, or sub-licence any of your rights or obligations under these Terms without SAARTHI’s prior written consent. SAARTHI may assign or transfer its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, without your consent, provided that such assignment does not materially diminish your rights under these Terms.

31.5 Relationship of the Parties

Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and SAARTHI.

31.6 Notices

Any notice required or permitted to be given under these Terms shall be given in writing and sent to the contact details provided in Section 32 (Contact Information), in the case of SAARTHI, or to the email address or postal address you have provided to SAARTHI, in your case.

31.7 Electronic Communications

You consent to receiving communications from SAARTHI electronically, including by email, SMS, and WhatsApp, and agree that all such communications satisfy any legal requirement that such communications be in writing.

31.8 Language

These Terms are drawn up in the English language. Any translation of these Terms into another language is provided for convenience only, and the English language version shall prevail in the event of any inconsistency.
